La reciente Ley 5/2015 de fomento de financiación empresarial tipifica el crowdfunding de préstamo y de inversión. El presente trabajo estudia el concepto de crowdfunding, el análisis del funcionamiento y naturaleza jurídica de la financiación participativa en cada una de las cuatro modalidades que existen (Crowdfunding de donación, Crowdfunding de recompensa, Crowdfunding de inversión, Crowdfunding de préstamo) y aborda finalmente el régimen jurídico del crowdfunding en la ley de fomento de la financiación empresarial.
The recent Law 5/2015 of promotion of business financing typifies the equity crowdfunding and the lending crowdfunding. The present work studies the concept of crowdfunding, the analysis of the functioning and legal nature of the participative financing in each of the four modalities that exist (donation based crowdfunding, reward based crowdfunding, equity crowdfunding based, lending crowdfunding) and finally approaches in the legal regime of the crowdfunding in the promotion of business financing law.
